Course Philosophy
Businesses do not operate in a vacuum. They are bound by the legal principles prevailing in their jurisdiction. An understanding of fundamental legal notions is vital to ensure a healthy external and internal business environment. This course is designed to prepare executive participants to see the alignment between legislative intent, regulatory requirements, and the financial goals of the enterprise.
Teaching Methodology
The pedagogy is tailored for working professionals, emphasising peer interactions, case analysis, and class discussion. Anecdotal evidence, precedent analysis, and brainstorming sessions are used to develop a firm grasp on how legal provisions practically impact business cycles.
Course Architecture
The curriculum covers the full legal lifecycle of an enterprise, functionally grouped into core areas of risk and compliance:

Commercial Foundations: Principles of Contract Law (formation, performance, and breach) and Forms of Business Organizations.

Corporate Mechanics: The lifecycle of a company, spanning incorporation, raising funds (including private placements and ESOPs), management administration, and the principles of Corporate Governance.

Market & Regulatory Compliance: Navigating the external environment through the study of Securities Law, Consumer Protection, Competition Law, and Banking & Insurance regulations.

Risk & Strategy: Managing distress and intellectual capital through Insolvency & Bankruptcy Laws, Dispute Resolution Mechanisms (ADR), Environmental / ESG Laws, and Intellectual Property Rights.
Key Deliverables & Assessment
Participants are assessed (via quizzes, mid-term, and end-term examinations) on their ability to articulate legal concepts in a business context, describe inter-linkages in functional areas, and make legally sound business decisions regarding external regulatory requirements.
