Corporate Reconstruction
A practical study of business combinations, acquisitions, mergers, and the regulatory frameworks governing corporate restructuring in India.
Institution: Hidayatullah National Law University
Program: B.A.LL.B. (Hons.)
Semester: VII
Course Philosophy
Business restructuring is an integral part of the new economic paradigm. As economic controls give way to competition and free trade, rationalization and reorganization have become necessary survival strategies for corporates adjusting to highly volatile markets. This course demystifies the rationale behind mergers, demergers, and acquisitions, proving they can co-exist without contradiction to maintain market competitiveness.
Teaching Methodology
The methodology bridges the gap between academic doctrine and legal practice. While classroom teaching covers the foundational statutory frameworks, the core of the course relies on landmark case law analysis and case studies to simulate real-world restructuring scenarios.
Course Architecture
The syllabus logically progresses from conceptual foundations to specific transactional mechanisms:
-
Module I: Foundations - Basic Concepts and Methods; Introduction to Financial and Corporate Restructuring.
-
Module II: The Mechanics of Restructuring - Mergers and Related Aspects; Demergers, Slump Sale, and Joint Ventures.
-
Market Dynamics & Compliance: - Takeovers and Acquisitions; Due Diligence and Valuation.
-
Module III: Applied Practice - Practical aspects intersecting with corporate insolvency and competition law.
Key Deliverables
Beyond theoretical understanding, students are required to apply their knowledge to given sets of facts, choose appropriate methods of restructuring, and practically frame guidance and practice notes for the steps involved in different modes of corporate restructuring.
Note to Students: This is a structural architecture of the course. Enrolled students will receive the detailed course syllabus with specific weekly progression, CO-PO mappings, and exhaustive reading materials, before the first session.
