Course Philosophy

The modern corporation is characterised by dispersed ownership but highly concentrated executive control. This course proceeds on the premise that the primary objective of corporate finance is to acquire resources efficiently while ensuring the law adequately regulates executive management and protects investors. Further, the students explore how to achieve the optimal balance of debt and equity capital to maximize value.

Teaching Methodology

This course blends foundational classroom lectures with interactive learning techniques. Moving beyond pure theory, the pedagogy relies heavily on the case method to simulate real-world scenarios, fostering critical thinking and problem-solving. I actively utilise modern tools, including online financial databases and simulations, to analyse current market trends and practical applications of the law.

Course Architecture

The curriculum is designed to provide the big picture of corporate finance before drilling down into specific funding mechanisms:

  • Module I: Introduction to Corporate Finance - Explores the corporate form, capital structure, and the overarching regulatory framework.

  • Module II: Equity Finance - Navigating types of issues, preference shares, dividends, and alternative investment vehicles like REITs and InvITs.

  • Module III: Debt Finance - Analysing debentures, bank financing, external commercial borrowings, and securitisation.

  • Module IV: Capital Markets - Understanding the structural framework of capital markets and the mechanisms for domestic and international listing.

Key Deliverables

Students are expected to confidently evaluate different sources of financing and analyse complex regulations enacted by SEBI to make informed legal and economic judgments.
